Terms of Service
Last updated 30 October 2026
Utsushi is provided by A2.AI PTY LTD, Australia ("we", "us"). By creating an account or using the app you agree to these terms. If your organisation has signed an Enterprise order form or contract with us, that contract applies where it differs from these terms.
Your account
- You need an email address and a password. Keep your password and your one-time recovery key safe.
- Your notes are end-to-end encrypted with a key made on your device. If you lose both your password and your recovery key, we cannot recover your notes.
- You're responsible for what happens under your account, and for the content you write or share.
Acceptable use
Don't use Utsushi to break the law, infringe others' rights, distribute malware, harass people, or to attack, overload or probe the service. We may suspend accounts that do.
Plans and billing
- Basic is free. Pro, Student and Team are paid subscriptions, billed monthly or annually, in advance, through our payment processor, Stripe. Enterprise is sold on an annual contract.
- Student is for people with a verified school email address. You verify it in the app, and again once a year to keep the Student price.
- Subscriptions renew automatically at the end of each monthly or annual period until you cancel.
- You can cancel at any time from Settings → Plan → Manage subscription. You keep your plan until the end of the period you've already paid for, and you won't be charged for any further periods. (For Team, see how seat changes are settled below.)
- Prices are in US dollars. Prices shown to Australian customers include GST. Other taxes are added at checkout where they're required.
- We may change prices with at least 30 days' notice. A new price applies from your next renewal after the notice period. For annual plans, that's your next annual renewal.
- Refunds are covered by our Refund Policy.
Team seats
- A Team plan is billed for at least 3 seats, even if fewer people are using it.
- Seats you add during a billing period are charged for the rest of that period, prorated, on your next invoice.
- If you reduce your billable seats (above the 3-seat minimum) during a period, the unused part is credited against your future invoices. Going below 3 seats earns no credit.
- If you cancel a Team plan, seat additions that have already been invoiced or are still outstanding are settled on your final invoice, and any unused credit left after that is refunded on request.
Failed payments and plans ending
- If a payment fails, we retry it and your plan stays active while you update your card. If it's still unpaid 14 days after the first failed payment, your account moves to Basic's limits, with no further 14 days after that. Paying brings your plan back.
- When a paid plan ends because you cancelled, your account keeps its paid limits for 14 days, then returns to Basic's limits. The app shows exactly what will change beforehand.
- Nothing is deleted when you move to a smaller plan. You can still read, edit, export and delete your notes.
- History follows the new plan's limits: on Basic, it's trimmed to 7 days and 40 versions per note. A note already in the Bin keeps the expiry it had when you binned it; a downgrade doesn't shorten it. Notes you bin after that follow the new plan's Bin period.
Storage limits
Each plan has a storage limit, and the app warns you at 90%. We never delete your notes because you're over it, for example after moving to a smaller plan: you can still open, edit, export and delete them, and they keep syncing. You just can't add new notes or images until you delete some or upgrade. Keep your own exports of anything you can't lose.
Sharing
When you share a note, the people you invite can read and, if you allow it, edit it, and they see your display name and avatar. You can remove people at any time. Anyone you removed keeps what they already saw.
Organisations
- On Team and Enterprise, the organisation (through its owners and admins) controls its membership and its org folders, including who can read them.
- When a member is removed, the keys for the org notes they could read are rotated, so they lose access to new and changed org content. They may keep copies of what they could already read.
- Admins can't read members' private notes. Those stay encrypted with the member's own key.
- The organisation's owner is responsible for its seats and billing, and for having the right to add the people it invites.
AI connections
The desktop app can let AI apps on your computer read, and if you allow it write, your notes through a local MCP server. Once an AI app reads a note, that text has left Utsushi's encryption. What happens to it is governed by that AI app's and its model provider's terms, not ours. You choose what each connection can reach, and you can revoke it at any time. Basic includes one read-only connection; paid plans include unlimited connections with write access.
Updates and availability
The app updates itself. We aim to keep the service available but don't guarantee it will be uninterrupted or error-free. We may change or discontinue features; if we shut the service down we'll give at least 30 days' notice so you can export your notes.
Ending your account
You can delete your account from Settings at any time; cancel any subscription first. Deletion removes your notes and machines from our servers. We may close accounts that break these terms.
Your rights and our liability
Nothing in these terms limits your rights under the Australian Consumer Law, or other laws that can't be excluded. If the service has a major failure, you're entitled to a remedy whatever these terms say. Otherwise, to the extent the law allows, the service is provided "as is", and our total liability to you is limited to the amount you paid us in the 12 months before the claim.
Changes and contact
We may update these terms; we'll tell you in the app or by email before material changes take effect. These terms are governed by the laws of South Australia, Australia. Questions: support@a2ai.com.au.
